Information Technology & Telecommunications

Having over twenty-five years of varied experience as a lawyer, business executive and systems engineer, Bruce Leshine represents and advises major corporations, healthcare organizations, financial services firms and government entities in their procurement, acquisition and management of varied information technology and telecommunications products and services and IT and business process outsourcing. In addition to the representation and provision of legal counsel to clients nationally, Mr. Leshine is a frequent speaker and panelist on the subject of the outsourcing of information technology systems and infrastructure, telecommunications networks and services, and business processes and operations. In addition, Mr. Leshine represents and advises clients respecting more general information technology issues in the areas of software development and licensing, technology transfer agreements, technology services contracts, the Internet, and non-litigation dispute resolution.

Mr. Leshine has a broad breadth of experience in the review and evaluation of existing information technology and telecommunications contracts, rates and charges and product and service delivery. Working "hand in glove" with client lawyers, business executives, finance and contract managers and technical staff, Mr. Leshine represents and advises clients regarding such information technology and telecommunications initiatives from start to finish--- preparing bid documents, managing the contract procurement and proposal evaluation processes, taking part in business and technical meetings, and fully negotiating and drafting the master agreement legal terms and conditions, statements of work, service level agreements, schedules of rates and charges, asset purchase and lease documents, and personnel transfer and transition plans.

Working with some of the country's leading consultants, Mr. Leshine reviews and evaluates all financial parameters and cost and pricing information regarding the organization's information technology or telecommunications products and services. This includes benchmarking or other financial assessments, and the identification of issues with suppliers' proposed pricing structures, such as hidden costs and whether there is appropriate variability in the overall pricing. Finally, in the area of performance standards and service levels, Mr. Leshine has broken new ground, completing several recent agreements with a dramatically different and much improved concept and approach towards the application of performance standards in information technology and telecommunications. Such a concept and approach dispels the traditional set of nominal monetary credits for short-term non-compliance with rudimentary metrics, and replaces it with a system of more meaningful performance standards and incentives guaranteeing the satisfaction of the client's long-term objectives.

Regulatory and Litigation

Mr. Leshine has advised clients on varied issues pertaining to compliance with the federal acquisition regulations and cost accounting standards, and has successfully defended clients in bid protests at both the U.S. General Services Administration and the General Accounting Office. Mr. Leshine has experience in government contract review and analysis, and has prepared contract claims for submission to various Boards of Contract Appeals. In addition, Mr. Leshine has represented contractors in civil litigation with respect to large government information technology systems development and services contracts.

Within the life insurance and financial services industry, Mr. Leshine was the primary draftsperson and a principal member of the legal team responsible for the creation, negotiation and development of the Stipulation of Settlement and Alternative Dispute Resolution Program, agreed to by and among the insurer, class-action counsel and the U.S. state insurance departments in re: The Prudential Insurance Company of America Sales Practices Litigation between 1995 and 1997.

Corporate and Transactional

Mr. Leshine has represented and advised life insurance companies and commercial banks as purchasers, sellers, lenders and investors in the acquisition and financing of varied enterprises and businesses. In addition, Mr. Leshine has significant experience in business management in the technology industry, as the director of finance and administration for the information technology division of Northrop Grumman/PRC Inc. In industry, Mr. Leshine was responsible for all financial and administrative functions for a business unit providing varies outsourced IT systems design, development and services of $50 million annually. In this capacity, Bruce had broad oversight of all business functions in a profit and loss center, including financial and project cost accounting, budgeting and pro forma financial analysis, human resources, overhead administration, the preparation of technical proposals and cost bids, and contract administration.

  • Represented and advised a California-headquartered international technology manufacturer in a ten-year IT Services / Telecommunications Outsourcing Agreement with a top-tier telecommunications provider.
  • Represented and advised a Washington regional hospital in seven-year Agreement for Information Technology Services Outsourcing with a Fortune 100 corporation.
  • Represented and advised a top-tier telecommunications provider in a five-year contract regarding the outsourcing of a Fortune 100 financial services firm's telecommunications infrastructure and global voice and data networks.
  • Represented and advised a Michigan hospital in the renegotiation of a five-year Agreement for Information Technology Services with a Fortune 100 corporation.
  • Represented and advised a Pennsylvania hospital in the negotiation of a five-year Information Technology Services Agreement with a Fortune 100 corporation.
  • Represented and advised a Midwestern regional hospital in various claims and disputes with the outsourcing vendor, and the subsequent termination "for cause" of its existing IT Services Outsourcing Agreement.
  • Represented and advised a national healthcare maintenance organization in a IT Hardware and Software Products and Services Agreement with a Fortune 100 corporation.
  • Represented and advised a Connecticut healthcare system in a seven-year Information Technology Services Agreement with a Fortune 100 corporation.
  • Represented and advised the City of New York in its five-year Master Agreement for comprehensive Voice and Data Telecommunications Services with a top-tier telecommunication provider.
  • Represented and advised an international technology manufacturer in all three of its master Telecommunications Agreements with the top-tier telecommunications providers.
  • Represented and advised a Massachusetts medical center and teaching hospital in ten-year Information Technology Services Agreements with two Fortune 100 corporations.
  • Represented and advised a top-tier telecommunications provider in its seven-year Network Management Services Agreement for the outsourcing ofa Fortune 100 financial services firm's telecommunications infrastructure and global voice and data networks.
  • Represented and advised a major international insurance and financial services firm in various agreements regarding the outsourcing of all data processing functions to various IT vendors.
  • Represented and advised a top-three U.S. bank in the drafting and negotiation of multiple RFP's and subsequent agreements regarding the outsourcing or procurement of various technology products, services and business processes.
  • Represented and advised a major software development and services corporation in litigation and settlement of multiple claims and disputes respecting the design, development and installation of a turn-key management information system.
  • Represented a major government contractor in litigation and trial respecting the protest to the U.S. GSA of the Air Force's award of a $360 million computer systems contract.
  • Represented a major government contractor in litigation and trial respecting the protest of the award of a $1.5 billion shipbuilding contract, at the time the largest protest litigation ever brought before the U.S. GAO.
  • Represented and advised a large regional bank in the negotiation and drafting of the merger and acquisition agreement and collateral documents, schedules and required filings regarding its sale.
  • Represented a large insurance and financial services firm in the negotiation and drafting of the loan agreements and collateral documents regarding the acquisition of a high-tech manufacturing business.

  • Represented a major government contractor regarding the construction, purchase and third-party lease of seven oil product tankers for a Russian shipping company.
  • Represented and advised a major U.S. insurance and financial services firm with respect to the Stipulation of Settlement and Alternative Dispute Resolution Program, as agreed to by all fifty state insurance departments and federal class-action counsel, and affirmed by the U.S. Court of Appeals for the 2nd Circuit regarding sales practices litigation.
